You must provide accurate information and keep your credentials secure. You are responsible for all activity under your account.

3. Fees & Payouts

We charge transaction fees as published on our Pricing page. Fees may vary by country, card type, or payment method. Payout schedules are subject to risk review and compliance requirements.

4. Prohibited Activities

You may not use the Services for illegal transactions, high‑risk activities without approval, or to infringe intellectual property or privacy rights.

5. Chargebacks & Refunds

Merchants are responsible for chargebacks and refund handling. We may deduct chargeback amounts and associated fees from your balance or future payouts.

6. Taxes

You are responsible for determining and remitting any applicable taxes arising from your use of the Services.

7. Compliance

You agree to comply with applicable laws and card network rules, including AML/KYC obligations. We may request information to verify your business and identity.

8. Data & Privacy

We process personal data in accordance with our Privacy Policy. You must provide legally adequate privacy notices to your customers and obtain necessary consents.

9. Security

You must implement reasonable security controls and keep API keys secret. Do not store raw card data on your servers.

10. Intellectual Property

We retain all rights to the Services and brand. You grant us a limited license to use your name and logo to identify you as a customer.

11. Warranties & Disclaimers

THE SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. OUR TOTAL LIABILITY WILL NOT EXCEED THE FEES PAID BY YOU IN THE 3 MONTHS PRECEDING THE CLAIM.

13. Indemnification

You will indemnify and hold SecurePay Ltd harmless from claims arising out of your use of the Services or violation of these Terms.

14. Term & Termination

Either party may terminate with notice. We may suspend or terminate immediately for suspected fraud, non‑payment, or legal non‑compliance.

15. Governing Law

These Terms are governed by the laws of England and Wales, excluding conflict‑of‑law rules. Courts of London, UK shall have exclusive jurisdiction.

16. Changes

We may update these Terms from time to time by posting an updated version. Continued use constitutes acceptance.
